We structured and managed the full sell-side assistance process, coordinating stakeholders and driving project governance. Our work included detailed mapping of the transaction scope, hotel management agreement vs hotel franchise agreement financial analysis, contract benchmarking against business plan assumptions, and modelling of an EBITDA run rate. We produced a comprehensive report covering historical and projected performance by brand and asset. We also supported deal negotiations with investors, particularly on financial clauses and SPA structuring, while advising on asset-light versus asset-heavy implications.
