Our client, a global hospitality group and hotel brand manager, engaged us to provide sell-side assistance for its lifestyle portfolio (approximately 150 hotels and 20 recently acquired restaurants) ahead of the sale of a minority stake to an investor.

Accuracy Role

We structured and managed the full sell-side assistance process, coordinating stakeholders and driving project governance. Our work included detailed mapping of the transaction scope, hotel management agreement vs hotel franchise agreement financial analysis, contract benchmarking against business plan assumptions, and modelling of an EBITDA run rate. We produced a comprehensive report covering historical and projected performance by brand and asset. We also supported deal negotiations with investors, particularly on financial clauses and SPA structuring, while advising on asset-light versus asset-heavy implications.
