At GAR Live Hong Kong last week, our director Leong Munyou had the privilege of sharing his insights on a panel discussing trends and practical tips in private equity disputes.

Including esteemed panellists Tony Dymond and Robert Rhoda, and moderated by Christopher Boog, the session covered a range of issues from evolving tribunal approaches to governance challenges and valuation disputes.

It is extremely important for investors to negotiate for information rights and proactively exercise such rights throughout the investment lifecycle. When disputes occur, communications between the parties tend to breakdown and these critical data (financial accounts, operational data, business plans, etc) will be much more difficult to obtain. When drafting complex earn-out mechanisms, parties should involve financial experts to ensure that the mechanisms reflect the parties’ intentions and are less open to interpretation.
