Our client, one of the leading international operators in the regulated gaming sector (lotteries, betting, online games and entertainment devices), started a complex reorganisation process aimed at simplifying the group structure.
We studied all industry/business dynamics and related regulations. This allowed us (i) to understand the full value chain underlying the business of the branches, (ii) to collect inputs for the BPs from all divisions involved in the project, (iii) to easily support Management with modelling activities and (iv) to finalise our valuation activities within the agreed deadlines.
Following the sworn appraisals in front of the notary, our client completed the contributions in kind and executed a merger by incorporation.
We were appointed to prepare two sworn appraisals for the contribution in kind of two operating business units. We supported the client in its review of the carve-out perimeter and with modelling and valuation activities.
