Comment les cabinets mobilisent-ils leurs troupes sur ces sujets\u00a0?<\/strong><\/p>\n<p>Dans un contexte \u00e9conomique international fragilis\u00e9, les restructurations d\u2019entreprises et les deals corporate et PE se multiplient, en France comme \u00e0 l\u2019international. Les cabinets de conseil en strat\u00e9gie accompagnent ainsi notamment les directions g\u00e9n\u00e9rales pour les missions Post Merger Integration (PMI)\u00a0: la phase harmonisation, fusion et structuration de la nouvelle entit\u00e9. Selon Gilles Roucolle, la co-t\u00eate de pont europ\u00e9enne d\u2019Oliver Wyman (intervenu notamment en 2024 aupr\u00e8s d\u2019UBS dans la fusion de Credit Suisse et d\u2019UBS Switzerland), ces missions \u00e0 haute valeur ajout\u00e9e sont complexes, car elles \u00ab\u2009<em>se planifient et se pr\u00e9parent<\/em>\u00a0<em>le plus souvent<\/em>\u00a0<em>dans un contexte r\u00e9glementaire tr\u00e8s strict<\/em>\u00a0<em>concernant en particulier les \u00e9changes d\u2019informations commerciales tr\u00e8s sensibles<\/em>\u2009\u00bb, o\u00f9 le consultant est \u00ab\u2009<em>un tiers de confiance indispensable<\/em>\u00a0<em>pour faire en sorte que, le lendemain du closing, les entreprises ne font plus qu\u2019une sans avoir d\u00e9rog\u00e9 aux obligations l\u00e9gales<\/em><em>\u2009\u00bb<\/em>.<\/p>\n<p>(&#8230;)<\/p>\n<p>C\u00f4t\u00e9 partners, ces missions PMI sont un must. De moyen, voire de long terme, elles n\u00e9cessitent des \u00e9quipes cons\u00e9quentes avec des expertises pointues\u2026 et repr\u00e9sentent donc de belles factures \u00e0 la clef. Des sujets qui connaissent aussi une belle \u00e9volution. Pour <strong>Accuracy<\/strong> Strategy, par exemple, qui r\u00e9alise entre 30\u00a0% et 40\u00a0% de son activit\u00e9 sur les transactions, la part de ces missions est en croissance. Pour le partner <strong>Nicolas Darbo<\/strong>, il s\u2019agit \u00ab\u2009<em>d\u2019un gisement naturel en coh\u00e9rence avec le reste de nos activit\u00e9s<\/em>\u2009\u00bb.
