Assisting a leader in railway cabling

Context

Our client, a European leader in the design, development and manufacture of railway cabling, had planned to enter the Italian market by acquiring a company operating in the same sector. One of its objectives was to diversify its customer base and improve its profitability thanks to the combination of a different mix of expertise.

Key Takeaway

Being flexible was critical in order to assist the client in all the acquisition steps. We were able to understand and process all the drivers to build a valuation model in order to facilitate the board’s decisions. Our key findings had an impact on the final price, and we provided assistance during negotiations with the sellers. Our construction of a flexible model was highly useful to facilitate interactions with the banks and funds in order to present the dossier with more attractive financing ratios.

Accuracy Role

During our six-month engagement, we assisted the client in all steps of the process: (i) construction of the target business plan with different scenarios, (ii) valuation in order to facilitate the decision for the non-binding offer, (iii) performance of financial buy-side due diligence and SPA assistance and (iv) assistance and negotiations with banks for financing.
